ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR SERVICES, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO WING SNOB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Wing Snob and you. The Services would not be provided without such limitations. Some jurisdictions do not allow certain limitations on liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its officers, directors, employees, agents, licensors, suppliers, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution procedure, you agree to first contact Wing Snob informally to attempt to resolve any dispute. Please contact us at [email protected] with a written description of your complaint and the relief you seek. Wing Snob will make good faith efforts to respond within thirty (30) days. If the dispute is not resolved within sixty (60) days after Wing Snob's receipt of your notice, either party may proceed to binding arbitration as set forth below.

13.2 Binding Arbitration

EXCEPT AS OTHERWISE PROVIDED IN THIS SECTION, ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS, YOUR USE OF THE SERVICES, OR ANY PRODUCTS ORDERED FROM WING SNOB SHALL BE RESOLVED EXCLUSIVELY BY BINDING INDIVIDUAL ARBITRATION AND NOT IN A CLASS, REPRESENTATIVE, OR CONSOLIDATED ACTION OR PROCEEDING.

The arbitration shall be conducted by a recognized arbitration organization in the United States under its then-current rules and procedures for consumer disputes. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Website or Services or maintain an account with Wing Snob. Wing Snob reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Website or Services, with or without notice, for any reason, including but not limited to:
